End User License Agreement (EULA) for Nanaroo™

1. Introduction
Welcome to Nanaroo™. This End User License Agreement (EULA) is a legal agreement between you (the "User") and Nanaroo, LLC, a Utah limited liability corporation ("Company") for use of the Nanaroo™ application (the "App"). By installing or using the App, you agree to be bound by the terms of this EULA. If you do not agree with these terms, do not install or use the App.

2. License Grant
The Company grants you a non-exclusive, non-transferable, non-sublicenseable, and revocable license to use the App for personal and for commercial caregiving purposes. This license does not include any rights to distribute or modify the App.

3. Use of the App
The App is designed to assist caregivers by simplifying the organization and supervision of care teams and by providing visibility into the care of loved ones. You agree to use the App only for its intended purposes and in compliance with all applicable local, state, federal, and national laws and regulations.

4. Restrictions
Your license does not allow you to:
· Distribute, sublicense, or resell the App or any portion thereof without the express written permission of the Company.
· Reverse engineer, decompile or disassemble the App.
· Use the App for any purpose contrary to any local, state, federal, or national laws or regulations.
· Attempt to gain unauthorized access to any part of the App or its related systems.

5. User Data and Privacy
The App may collect and use personal data to provide its services. Your use of the App constitutes your consent and those for whom you provide care to the collection and use of such data following the Company’s Privacy Policy, which is incorporated into this EULA by reference. 6. Intellectual Property
All intellectual property rights in and to the App, including but not limited to patents, copyrights, trademarks, and trade secrets, are owned by the Company or its licensors. Nothing in this EULA grants you any rights in any intellectual property except as expressly set forth herein.

7. Termination
The Company may terminate this EULA and your access to the App at any time, with or without cause, by providing written notice. Upon termination, you must cease using the App and delete all copies from your devices.

8. Disclaimers and Limitation of Liability
The App is provided "as is" and "as available," without warranties of any kind, either express or implied. The Company does not warrant that the App will meet your requirements or be uninterrupted, secure, or error-free. In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App.

9. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the App or any violation of this EULA.

10. Governing Law
This EULA shall be governed by and construed under the laws of the State of Utah, United States of America, without regard to its conflict of law principles. Any disputes arising under or in connection with the use of this App or this EULA shall be resolved or adjudicated in courts located in Salt Lake City, Utah, United States of America.

11. Changes to this EULA
The Company reserves the right to modify this EULA at any time. Any changes will be effective when posted on the Company’s website or within the App. Your continued use of the App following any such changes constitutes your acceptance of the new terms.
